These Terms and Conditions ("Terms") govern the use of the Patensium platform and services available at https://app.patensium.com/ (the "Platform").
The Platform is operated by GCS Brands Ltd trading as Patensium ("we", "us", "our").
By creating an account, subscribing to the service, or using the Platform, you ("Client", "you", or "your") agree to these Terms.
1. Services
Patensium provides a subscription-based trademark management service through the Platform.
Under this subscription, Patensium assists clients with the registration, monitoring, and renewal of trademarks in relevant jurisdictions.
The Services may include preparing and submitting trademark applications, monitoring trademark records and deadlines, communicating with intellectual property offices ("IPO"), handling renewal filings, and providing administrative support relating to trademark protection.
The Client pays a recurring subscription fee for access to these Services. Unless otherwise agreed, government filing fees are included in the subscription. Other official charges and third-party costs are payable separately unless expressly stated otherwise. The Client will be informed before any additional costs are incurred.
Patensium will act as agent or representative for the Client before relevant intellectual property offices where required. Clients must sign any powers of attorney required for us to act as agent and perform these services.
The Services are intended to assist with trademark protection but do not guarantee the successful registration or protection of any trademark.
2. Subscription and Fees
Access to the Services is provided on a subscription basis and requires payment of a recurring monthly fee.
Fees for the Services are specified on the Platform at the time of purchase.
Government filing fees, official charges, and third-party costs are not included unless expressly stated and remain payable by the Client.
All fees are exclusive of applicable taxes unless otherwise stated.
3. Minimum Subscription Period
The subscription has a minimum commitment period of three (3) months from the date the subscription begins.
Cancellation during this initial three-month period is not permitted unless the Client pays all government filing fees and official costs incurred, as well as a reasonable fee for legal or professional work already performed by Patensium.
Patensium reserves the right to determine such reasonable fees based on time spent, work performed, and administrative costs incurred.
4. Cancellation After Minimum Period
After the initial three-month commitment period, the Client may cancel their subscription at any time via the Platform or by written notice.
Cancellation will take effect at the end of the current billing period unless otherwise agreed.
Outstanding fees remain payable.
5. Removal of Patensium as Agent
Where Patensium has been appointed as agent or representative before an intellectual property office, the Client must remove Patensium as agent of record within forty-eight (48) hours after cancellation of the subscription.
If the Client fails to do so, Patensium may continue monitoring the trademark record and may charge reasonable fees for monitoring, administrative work, and any legal or professional services required.
The Client is responsible for ensuring the appointment of a new agent where necessary.
6. Trademark Application Outcomes
Trademark registration decisions are made solely by the relevant intellectual property offices.
Patensium cannot guarantee that a trademark application will be accepted or registered.
If a trademark application is refused or appears unlikely to proceed successfully, Patensium will communicate with the Client and may offer the following options: filing a new trademark application or cancelling the subscription, subject to these Terms.
Additional government filing fees may apply to any new application.
7. Client Responsibilities and Good Faith Use
The Client agrees to provide accurate and complete information when submitting trademark applications, respond promptly to requests for information or instructions, and use the Platform in good faith.
The Client must not deliberately submit trademark applications for marks that they know or reasonably should know are likely to be refused, infringe the rights of third parties, or are intended to abuse or misuse the trademark system.
If Patensium reasonably believes the Client is acting in bad faith, Patensium may suspend or terminate the account, refuse to file or continue processing applications, and charge the Client for any professional work performed and any losses suffered as a result of such misuse.
8. Intellectual Property
The Client retains full ownership of all trademarks, names, logos, and other intellectual property submitted through the Platform.
Patensium does not claim ownership of any trademark rights belonging to the Client.
The Client grants Patensium limited authority to use the relevant trademarks and information solely for the purpose of providing the Services, including preparing filings, communicating with intellectual property offices, and managing trademark records.
All software, systems, databases, workflows, and materials forming part of the Platform remain the exclusive property of Patensium or its licensors.
No rights are granted to the Client in relation to the Platform except for a limited right to access and use the Services in accordance with these Terms.
9. Limitation of Liability
To the maximum extent permitted by law, Patensium shall not be liable for any indirect, incidental, consequential, or special damages, including loss of business, loss of profits, loss of reputation, or loss of opportunity.
To the maximum extent permitted by law, Patensium's total aggregate liability arising out of or relating to the Services shall in no circumstances exceed the total amount paid by the Client to Patensium.
Nothing in these Terms excludes liability where such exclusion is prohibited by law.
10. No Guarantee of Trademark Protection
The Client acknowledges that trademark law is complex and subject to interpretation by intellectual property offices and courts, that similar or conflicting marks may exist, and that decisions ultimately lie with the relevant authorities.
Accordingly, Patensium does not guarantee registration, enforceability, or legal validity of any trademark.
11. Payment, Suspension or Termination
The Client must remain an active subscriber to the Service and maintain a valid automatic payment method linked to the Platform.
Disabling, cancelling, or otherwise interfering with the automatic payment method without cancelling the subscription through the Platform will be considered a breach of these Terms and may result in immediate suspension of the Services.
If the subscription is cancelled through the Platform, the cancellation terms set out in these Terms will apply.
If a payment is declined by the Client's bank, card issuer, or payment provider, or fails for any other reason, Patensium may automatically retry the payment at reasonable intervals.
If payment remains outstanding, Patensium may suspend the Services until all overdue amounts are paid.
Patensium may, at its sole discretion, suspend or terminate access to the Platform and Services where the Client breaches these Terms, fails to pay applicable fees, or uses the Platform in bad faith or unlawfully.
Any suspension or termination of the Services shall not affect the Client's ownership of their trademarks.
Termination does not affect any accrued payment obligations or fees already incurred.
12. Modifications to the Service
Patensium may modify, update, or discontinue features of the Platform from time to time.
Where reasonably possible, advance notice will be provided.
13. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of Bulgaria.
Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Bulgaria.
